# Terms of Service

> Terms for using the Ti Protocol services

Last updated: November 3, 2026

These Terms of Service (the "**Terms**") govern your access to and use of the Ti Protocol website, app, Ti AI and related services (collectively, the "**Services**") provided by Ti Protocol Foundation, established in Singapore (the "**Company**," "**we**," "**us**," or "**our**"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

**Please read these Terms carefully. They include limitations of liability and provisions on how disputes are resolved.**

***

## 1. The Services

Ti Protocol provides an interface for looking up information about stablecoins and for swapping and moving stablecoins across multiple blockchain networks, together with Ti AI, an AI assistant that answers questions, and related features such as missions and rewards, asset views and a transaction explorer.

The Services are non-custodial. We do not hold your assets, receive your private keys or approve transactions on your behalf. Transactions are executed by smart contracts on public blockchains only after you approve them with your own wallet. In gasless transactions, a relayer only submits the transaction you signed.

We are not your broker, intermediary, agent or adviser, and we owe you no fiduciary duty.

We may add features to the Services, and change, suspend or discontinue all or any part of the Services, at any time.

***

## 2. Eligibility

You must be at least 18 years old and have reached the age of majority where you live, and be able to enter into a binding agreement to use the Services. You may not use the Services if doing so is prohibited by the laws that apply to you, or if you are subject to sanctions.

***

## 3. Wallets

**a. Your wallet.** To use certain features, you must connect a compatible wallet. Your wallet is provided by a third party, and its use is governed by that provider's terms. You are solely responsible for the security of your wallet, private keys, seed phrases and devices. We cannot recover lost keys or reverse transactions.

**b. Wallets provided by third parties.** Some wallets, including wallets that sign in with an email or a social account, may be provided through third-party wallet infrastructure such as ABC WaaS, operated by AhnLab Blockchain Company. Such wallets are provided and operated by their providers under their own terms and policies, and we are not responsible for their operation, security or availability.

**c. Signing.** Before you sign, check the transaction details your wallet shows, including the network, tokens, amounts, recipient and fees. A transaction you approve may be irreversible once recorded on a blockchain.

***

## 4. Ti AI

Ti AI provides information to help you use the Services. Its answers are generated by AI, may be inaccurate, incomplete or out of date, and are not investment, financial, legal or tax advice. Quotes and other figures change constantly; the values shown on the swap screen and in your wallet at the time you sign are what apply. Ti AI does not create, sign or execute transactions. We may set limits on the use of Ti AI. Information you enter into Ti AI is handled as described in our [Privacy Policy](https://docs.tiprotocol.io/legal/privacy-policy.md).

***

## 5. Fees

**a. Network and third-party fees.** Transactions may involve network fees (gas) and fees charged by third parties, such as bridge fees and liquidity and exchange fees. These fees are set by the relevant networks or providers and are not controlled by us. In gasless transactions, the network fee paid on your behalf is settled as shown before you sign, for example in the stablecoin being swapped or in Ti points.

**b. Service fees.** We may charge fees for some features now or in the future. Applicable fees are shown before you confirm a transaction.

**c. No refunds.** Fees are generally non-refundable once a transaction is submitted to a blockchain, regardless of its outcome.

***

## 6. Missions and Rewards

Missions, events, invitations and rewards are subject to the rules published for them, in addition to these Terms. Eligibility requirements, limits, review and holding periods may apply. We may verify eligibility, request additional information where required by law or for review, and pay rewards only in the manner we specify. If we determine that rewards were obtained through fraud, abuse, duplicate accounts, automation or any breach of these Terms or the applicable rules, we may withhold, cancel or reclaim them. We may change, suspend or end any mission, event or reward program at any time. Ti points and other rewards are subject to the rules we publish for them; unless those rules say otherwise, they have no cash value, cannot be transferred or exchanged outside the Services, and may change or expire under those rules. You are responsible for any taxes on rewards you receive.

***

## 7. Assumption of Risk

**a. Technology risk.** Blockchain technology and decentralized finance involve significant risks. Smart contracts may contain errors or vulnerabilities, networks may become congested or fail, and bridges and other protocols may be exploited or stop working.

**b. Market risk.** The value of digital assets can change rapidly, and stablecoins may lose their peg. Quotes are estimates, and the amount you receive may differ within the limits you set.

**c. Third-party risk.** The Services rely on third-party blockchain networks, bridges, liquidity sources, wallets and data providers that we do not control. We are not responsible for their availability, security or conduct.

**d. Irreversibility.** Transactions recorded on a blockchain generally cannot be reversed or cancelled.

**e. Service availability.** We do not guarantee that the Services will be uninterrupted, timely, secure or error-free. The Services may be unavailable because of maintenance, outages or other causes.

You are solely responsible for evaluating these risks before using the Services.

***

## 8. Information about TIP and the Whitepaper

Information about the TIP token and the Ti Protocol whitepaper is provided for informational purposes only. Nothing in the Services is an offer or solicitation to buy or sell any securities, investment products or digital assets, or investment, legal or tax advice.

***

## 9. Restrictions

We may, at our discretion, including where required by applicable law, restrict access to all or part of the Services in certain countries or regions. We may also restrict or terminate your access where required by applicable law or where we reasonably suspect that you are:

1. Engaged in money laundering, terrorist financing, fraud or sanctions violations
2. Using stolen funds or proceeds of illegal activity
3. Violating these Terms or any applicable rules
4. Creating legal, operational or security risks for the Services or other users

***

## 10. Prohibited Activities

You agree not to:

1. Use the Services for any unlawful purpose, including money laundering, terrorist financing, fraud or sanctions evasion
2. Engage in market manipulation or other deceptive or manipulative conduct
3. Gain or attempt to gain unauthorized access to the Services, other users' wallets or our systems
4. Introduce viruses, malware or other harmful code
5. Copy, decompile or reverse engineer the interface of the Services, except as permitted by law or by an applicable open-source license
6. Use bots, scripts or other automated means to collect data, circumvent usage limits or eligibility checks, or obtain rewards
7. Create or use multiple accounts or wallets to abuse missions, rewards or invitations
8. Impersonate any person or falsely claim an affiliation
9. Interfere with or disrupt the Services or other users' use of the Services
10. Exploit vulnerabilities in the Services or smart contracts, except as expressly authorized by us

We may investigate violations, suspend or terminate access, and cooperate with law enforcement.

***

## 11. Intellectual Property

**a. Ownership.** The Services, including their design, text, graphics and software, are owned by us or our licensors and are protected by intellectual property laws. Some smart contract code may be published under open-source licenses, and its use is governed by those licenses.

**b. License.** Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Services for their intended purpose.

**c. Feedback.** If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without compensation to you.

**d. Trademarks.** "Ti," "Ti Protocol," "TIP" and related names and logos are our trademarks. You may not use them in a way that suggests an official partnership or endorsement, alters them, harms our reputation or supports fraud or phishing.

***

## 12. Taxes

You are responsible for determining and paying any taxes that apply to your use of the Services and to your transactions and rewards.

***

## 13. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and availability. We are not responsible for losses caused by your actions or omissions, such as loss of private keys, sending assets to the wrong address or approving a transaction you did not intend.

***

## 14. Limitation of Liability

To the fullest extent permitted by law, we and our affiliates, directors, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, digital assets or goodwill, arising out of or relating to the Services or these Terms.

To the fullest extent permitted by law, our total liability for all claims relating to the Services or these Terms will not exceed the greater of the fees you paid to us for the Services in the twelve months before the claim arose or USD 100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

***

## 15. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless the Company and its affiliates, directors, officers, employees and agents from claims, losses and expenses, including reasonable legal fees, arising out of your use of the Services, your violation of these Terms or applicable law, or your violation of any third-party rights.

***

## 16. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, including if you breach these Terms or if continued access creates legal, security or operational risks. Digital assets in your wallet are not affected by termination, and you may be able to interact with the underlying smart contracts directly. Unpaid rewards and Ti points are governed by Section 6 and the applicable rules. Provisions that by their nature should survive termination will survive.

***

## 17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms here with a new "Last updated" date and, where required by applicable law, give reasonable advance notice of material changes. If you continue to use the Services after the changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Services.

***

## 18. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

If a dispute arises, you agree to first contact us and try to resolve it informally. To the extent permitted by applicable law, disputes that cannot be resolved informally will be settled on an individual basis, and not as part of a class or representative action, by the courts of Singapore, except that we may elect to resolve a dispute by arbitration seated in Singapore. Where applicable law requires otherwise, it will apply.

***

## 19. General

**Severability.** If any provision of these Terms is found invalid or unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.

**Assignment.** We may assign our rights and obligations under these Terms, including in connection with a merger, acquisition or transfer of assets. You may not assign these Terms without our prior written consent.

**Entire agreement.** These Terms, together with our [Privacy Policy](https://docs.tiprotocol.io/legal/privacy-policy.md) and any rules published for specific features, form the entire agreement between you and us regarding the Services.

**No waiver.** Our failure to enforce any provision is not a waiver of that provision.

**Force majeure.** We are not liable for any delay or failure to perform caused by events beyond our reasonable control, such as natural disasters or failures of networks or third-party services.

**Language.** These Terms are provided in English and Korean. If the two versions differ, the English version prevails, unless applicable law requires otherwise.

**Electronic communications.** You agree that we may communicate with you electronically, including by posting notices on the Services.
